Job description :To obtain and manage all necessary legal documents, approvals, licenses, certificates, registrations, to comply with Saudi Arabia’s requirements on governance and business activities..Key Responsibilities: Prepare, maintain and review management, board, and shareholders resolutions in line with applicable laws and regulations.Prepare, review, negotiation, and update of contracts with customers/clients, subcontractors, vendors/suppliers (including licensors), partners, employees, landlords and other third parties (including governmental and semi-governmental entities) inside and outside the Kingdom of Saudi Arabia (including NDAs, MOUs, Teaming Agreements, Channel Agreements etc.).Prepare, review and update of internal documents, templates, manual, processes, procedures etc. in coordination with other internal Departments and functions internal business and support units and external stakeholders (e.g. auditors) and ensure compliance with applicable laws and regulations Prepare and submit in coordination with the business units and internal functions and support units’ responses to governmental and municipality bodies or third parties concerning penalties, fines, deductions, or other matters Organize, maintain, and file documents in paper or electronic filing systems.Obtain/Prepare, update, gather, and arrange legal documents for company including Articles of Association, Commercial Registration, MISA License, MOMRA Classification license/Certificate, CITC licenses and other required certificates, licenses and permits, (Baladiya, Civil Defense etc.) required for the Company’s business operations in-Kingdom and Outside-Kingdom (where required).Write or summarize reports, Legal Opinions. Draft correspondence and legal documents, such as letters, pledges, authorization letters, etc. Review, contracts, and other documents with customers, suppliers, partners and other third parties, including governmental institutions and point out critical clauses for further deep dive analysis, and prepare risk analysis of such contracts/documents Review, and analyses letters and documents from customers, suppliers and other third parties and prepare action sheet. Regulatory: analyse summarize Regulatory requirements related to the ICT sector, prepare Legal opinions and recommendations for the Management to optimize the business setup and Structure for the company to optimize compliance and the business capability of the company to create and increase legal and operational readiness to achieve revenue and performance targets.Prepare and maintain Company Governance and Authorization matrix. Document/Manual for the company.Format documents and internal templates for general usage of the company.Call and deal with clients, witnesses, lawyers, and vendors/subcontractors and schedule interviews, meetings.Follow up on legal work, scheduling meetings and managing their calendars. Monitor changes in the applicable laws and regulations and prepare regular reports for the management on legal updates concerning the company’s business.
